End-user licence agreement
⚠️ Draft — lawyer review required on sections 6–8 (warranty, liability,
indemnity) before publishing. These clauses are what protect you personally as
a solo developer; a Spain-qualified lawyer should confirm they are enforceable
under Spanish/EU consumer law.
This End-User Licence Agreement ("Agreement") is a contract between you (the "User", whether an individual or an organisation) and {{LEGAL_NAME}} ({{ADDRESS}}, Tax ID {{TAX_ID}}) ("Licensor") for the BIMIO software, a suite of add-ins for Autodesk® Revit® (the "Software"). By installing, activating or using the Software you accept this Agreement. If you do not agree, do not use it.
1. Licence grant
Subject to your compliance with this Agreement and, for paid use, an active licence, the Licensor grants you a non-exclusive, non-transferable licence to install and use the Software on the number of devices (seats) your licence permits, for your internal professional use.
- Trial: the Software may be used for a limited trial period with full functionality, after which a paid licence is required to continue.
- Per-tool / suite licences: a licence unlocks the tools its entitlements cover; the "Misc" toolbox is included with any paid licence.
- Seats: each licence is limited to a number of devices; activation binds a device. Freeing a seat (deactivation) lets you move to another device.
2. Restrictions
You may not: (a) resell, rent, sublicense or distribute the Software or licence keys; (b) reverse-engineer, decompile or disassemble the Software except to the extent permitted by mandatory law; (c) circumvent or tamper with the licensing; (d) remove proprietary notices; or (e) use the Software unlawfully.
3. Ownership
The Software is licensed, not sold. All intellectual property rights in the Software remain with the Licensor and its licensors. Third-party open-source components are used under their own licences (see the Software's THIRD-PARTY-NOTICES / About → Acknowledgements).
4. Your data and models
The Software runs on your machine and operates on your Revit models. The Licensor does not receive your model data. Anonymous usage telemetry is processed as described in the Privacy Policy (privacy.html); you can opt out in-app.
5. Updates
The Licensor may provide updates. Updates are governed by this Agreement unless accompanied by different terms.
6. Warranty disclaimer (lawyer review)
The Software is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. The Licensor does not warrant that the Software will be error-free or uninterrupted, or that its output is fit for any particular purpose. You are responsible for reviewing and validating any output before relying on it in your projects. Nothing in this Agreement excludes liability that cannot be excluded under applicable mandatory (including consumer) law.
7. Limitation of liability (lawyer review)
To the maximum extent permitted by law, the Licensor shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, data, or business, arising out of or related to the Software. The Licensor's total aggregate liability under this Agreement shall not exceed the amount you paid for the licence in the twelve (12) months preceding the event giving rise to the claim. These limits do not apply to liability that cannot be limited under applicable mandatory law (e.g. wilful misconduct, gross negligence, or death/personal injury).
8. Indemnity (lawyer review)
You agree to indemnify the Licensor against claims arising from your unlawful use of the Software or your breach of this Agreement.
9. Term and termination
This Agreement applies while you use the Software. It terminates automatically if you breach it; on termination you must stop using the Software. Sections 3, 6, 7, 8 and 10 survive termination.
10. Governing law and disputes
This Agreement is governed by the laws of Spain, without regard to conflict of law rules, and the courts of {{JURISDICTION, e.g. the User's domicile for consumers / Madrid otherwise}} have jurisdiction, subject to any mandatory consumer-protection rights you have where you live.
11. Third-party platforms
If you obtained the Software through the Autodesk App Store / Marketplace or a third-party reseller, that platform's terms also apply to your acquisition; payment and refunds are handled by the applicable merchant of record.
